Terms of Service & End-User License Agreement

Effective date: June 7, 2026

By creating an account or accessing FreightCoreTMS ("Service"), you agree to be bound by these Terms of Service and the End-User License Agreement set forth below (collectively, the "Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including administrators, dispatchers, and drivers. The Service is provided by FreightCoreTMS LLC, an Arizona limited liability company ("FreightCoreTMS," "we," "us," or "our").

1. Description of Service

FreightCoreTMS is a cloud-based transportation management system designed for commercial trucking operations. Features include load management, dispatch, invoicing, permit tracking, driver management, ELD integrations, accounting integrations, and SMS-based driver notifications. The Service is provided on a subscription basis to authorized tenants.

2. License Grant

Subject to your full and ongoing compliance with these Terms and timely payment of all applicable subscription fees, FreightCoreTMS LLC hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during your active subscription term to:

• Access and use the Service via the user accounts provisioned to your tenant by your designated administrator;
• Use the Service solely for your internal business operations as a commercial freight, trucking, brokerage, heavy-haul, or transportation operator (and not on behalf of unaffiliated third parties unless your subscription tier explicitly permits brokerage activity);
• Use FreightCoreTMS connectors to authorize integrations with third-party systems you operate or have lawful access to (for example, your QuickBooks Online company, your Samsara/Motive/Geotab ELD account, your Stripe Connect account, or your load-board API credentials), and to transmit your business data between those systems and the Service.

You acknowledge and agree that:

• The Service, including all source code, object code, interfaces, designs, documentation, trademarks, and underlying intellectual property, is and shall remain the sole and exclusive property of FreightCoreTMS LLC and its licensors. No title, ownership, or intellectual property rights are transferred to you under these Terms.
• You acquire no rights in the Service other than the limited license expressly granted above.
• All rights not expressly granted to you in these Terms are reserved by FreightCoreTMS LLC.
• This license is automatically and immediately revoked upon termination, suspension, or expiration of your subscription, or upon any breach of these Terms.
• You retain ownership of the operational data you input into the Service (load records, customer records, invoices, driver records, etc.). FreightCoreTMS holds only the limited license necessary to operate, secure, back up, and provide the Service to you, as described in our Privacy Policy.

The license restrictions in Section 5 (Acceptable Use) are integral to and part of this license grant. Any conduct prohibited by Section 5 is also a breach of this license and an unauthorized use of the Service.

3. Account Registration

Access to FreightCoreTMS requires a valid account provisioned by your company administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify your administrator immediately if you suspect unauthorized access.

4. SMS Messaging Terms

FreightCoreTMS sends automated SMS messages to drivers and personnel who have provided a mobile phone number during registration. By providing your phone number, you consent to receive text messages related to your dispatch assignments, load status updates, detention clock alerts, and other operational notifications.

SMS messaging is powered by Twilio. By using the Service, you also agree to Twilio's messaging policies. Opting out of SMS does not deactivate your account — you may still receive in-app notifications.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to any system or data
• Transmit any harmful, fraudulent, or deceptive content
• Interfere with the operation of the Service or its infrastructure
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service, except to the extent such restriction is expressly prohibited by applicable law
• Copy, modify, translate, or create derivative works of the Service
• Remove, alter, or obscure any proprietary notices (including copyright, trademark, or license attributions) on the Service
• Use the Service to build a competing product or to benchmark the Service for a competing product
• Resell, sublicense, rent, lease, or otherwise make the Service available to any third party without our prior written authorization
• Use the Service in a manner that exceeds the capacity or scope of your subscription tier (for example, exceeding the power-unit count permitted by your plan)

6. Data and Privacy

FreightCoreTMS collects operational data necessary to provide the Service, including load records, personnel contact information (including mobile numbers), and dispatch history. This data is stored securely and is not sold to third parties. Driver phone numbers are used solely to deliver dispatch-related SMS notifications described in Section 4. 7. Subscription and Payment

FreightCoreTMS is offered on a paid subscription basis. Pricing is as published on freightcoretms.com. Subscriptions renew automatically unless cancelled before the renewal date. Fees are non-refundable except where required by law. We reserve the right to modify pricing with 30 days' notice to active subscribers.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or force majeure events may cause temporary unavailability. We are not liable for losses resulting from downtime.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT INTEGRATIONS WITH THIRD-PARTY SYSTEMS (INCLUDING QUICKBOOKS, ELD PROVIDERS, FUEL CARD NETWORKS, AND LOAD BOARDS) WILL OPERATE WITHOUT INTERRUPTION OR PRODUCE PARTICULAR RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREIGHTCORETMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate accounts that violate these Terms. You may cancel your subscription at any time through your account settings. Upon termination, all licenses granted under Section 2 (License Grant) immediately and automatically terminate, and you must cease all use of the Service. Your data may be deleted after a 30-day retention period.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

13. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
